Notification of Special General Meeting will be held at the Hobart ABC Building on Tuesday 23rd September 2025.

Brain Injury Association of Tasmania (BIAT) will hold a Special General Meeting (SGM )immediately prior to the Annual General Meeting (AGM) on Tuesday 23 September 2025.

The start time of the event remains the same. The purpose of the SGM is to ratify BIAT’s updated Constitution. All BIAT members are invited to attend the SGM and are eligible to vote. Other attendees are welcome to join but will not be able to vote or move motions.

Purpose of changes to the constitution:  

BIAT’s constitution had not been reviewed and updated since 2004. There were concerns that without a review we were at risk of not being fully compliant with several aspects of the existing constitution, and not meeting current standards set by the Australian Charities and Not-For Profits Commission (ACNC). 

 

Summary of changes:

The new constitution is based on the current ACNC template, with most of the changes modernising wording, or relating to the activities of the Committee of Management.  The following dot points are the key changes: 

  • Modernised language e.g. payments of bills by cheque has been removed and ‘he/she’ has been replaced with ‘they’.   
  • The Committee of Management has been renamed to the Board 
  • Membership fees have been removed and annual renewal is no longer required.  When you become a member, you will remain a member until your membership is     cancelled.   
  • The categories of membership have been removed including, what was previously known as ‘Life Membership”. We will be transitioning this to a new a way of honouring significant contribution to the organisation.   
  • The number of people that make up the Board has been reduced from ‘not exceeding 11’ to ‘up to 9’. 
  • The specific qualifications and background required to be a Board member has been removed. 
  • The requirement to have at least two (2) Board members from each region has been removed. 
  • The limit for Board members only being able to stay on the Board for five (5) years has been removed. 
  • The ability of the Board to make decisions between meetings, that are ratified at the following meeting, has been defined.
